Google Ads Management – Terms & Conditions
1. Existing Google Ads Accounts – Account Access & Management
If the client chooses to avail of Hire Ad Guru’s Google Ads management services using their existing Google Ads account, Hire Ad Guru will require the necessary Administrative/Manager-level access to manage and optimize the account effectively.
During the active service period, the client will have Read-Only access to the account. This arrangement is intended to ensure that campaigns, bidding strategies, targeting, keywords, budgets, conversion tracking, and other account settings are managed consistently by our team.
2. No Unauthorized Changes During the Service Period
To maintain campaign stability and performance, clients are requested not to make changes to campaigns, ad groups, keywords, bidding strategies, budgets, targeting, conversion tracking, or other campaign settings during the active service period without prior discussion with Hire Ad Guru.
Independent changes made by the client or any third party may affect campaign performance, optimization, learning periods, conversion tracking, and overall results. Hire Ad Guru will not be responsible for performance fluctuations resulting from unauthorized or third-party changes made to the account.
3. Discontinuation of Services – Existing Client Account
If the client decides to discontinue our Google Ads management services, the client must inform Hire Ad Guru before the commencement of the next billing/service cycle.
Upon discontinuation, Hire Ad Guru will provide/restore the appropriate access to the client’s existing Google Ads account, subject to the terms mentioned below.
4. Removal of Campaigns & Settings Upon Discontinuation
The campaigns, ad groups, keywords, ad copies, bidding configurations, targeting structures, optimization settings, conversion tracking configurations, and other campaign setups created or implemented by Hire Ad Guru are part of our paid Google Ads management service.
Upon discontinuation of the service, Hire Ad Guru reserves the right to remove, pause, delete, or reset the campaigns and settings created or implemented by our team before handing the account back to the client.
The client will retain ownership of their original Google Ads account and their pre-existing account data. However, campaign structures, strategies, configurations, and setups specifically created by Hire Ad Guru may be removed upon termination of the service.
5. Campaign Retention Option
If the client wishes to discontinue the ongoing management service but retain the campaigns, structures, settings, configurations, and other work created by Hire Ad Guru in their existing state, the client may opt for a Campaign Retention & Account Handover Fee equivalent to one additional month of the applicable service fee.
Upon receipt of this additional payment, Hire Ad Guru will retain the applicable campaign setup and hand over/restore the appropriate account access to the client, subject to Google Ads’ technical limitations and applicable policies.
This payment is separate from any outstanding service fees or advertising spend.

6. New Google Ads Account Created by Hire Ad Guru
For clients who do not currently have a Google Ads account and wish to avail of our monthly management services, Hire Ad Guru may create and set up a new Google Ads account specifically for the purpose of managing their advertising campaigns.
The account setup, campaign structure, configurations, tracking setup, bidding strategy, targeting, keywords, and other required settings will be created and managed by Hire Ad Guru as part of the agreed paid service.
During the active service period:
– Hire Ad Guru will retain the necessary Administrative/Manager-level access required to create, operate, manage, and optimize the account.
– The client will receive Read-Only access for monitoring and viewing campaign performance.
– The client should not make independent changes to the account or campaign settings without prior consultation with Hire Ad Guru.
7. Discontinuation of a New Account Created by Hire Ad Guru
Where the Google Ads account has been created and set up by Hire Ad Guru as part of its managed service, the account will remain under Hire Ad Guru’s management.
If the client discontinues the monthly management service, the account and its campaign setup will not automatically be transferred or handed over to the client. Hire Ad Guru reserves the right to suspend, close, or discontinue the account and remove campaigns, settings, configurations, and other setups created by the agency.
Any transfer or handover, if offered, will be subject to a separate written agreement and applicable fees.

8. One-Time Google Ads Account Setup Service
Hire Ad Guru also offers a One-Time Google Ads Setup Service for clients who wish to have their Google Ads account and campaigns professionally configured but do not require ongoing monthly management.
This service is subject to a one-time setup fee agreed upon at the time of purchase.
Under the One-Time Setup Service, Hire Ad Guru may provide the following, as applicable to the selected package:
– Google Ads account setup/configuration
– Campaign creation
– Campaign and ad group structure
– Keyword research and selection
– Ad copy creation/setup
– Location and audience targeting
– Bidding strategy configuration
– Budget and campaign settings
– Other initial campaign settings required for launch
9. Account Handover After One-Time Setup
Once the agreed setup work has been completed, Hire Ad Guru will hand over the applicable account access and campaign setup to the client.
The client will then be responsible for the ongoing management, monitoring, optimization, budget management, performance analysis, and maintenance of the Google Ads account unless a separate monthly management service is purchased.
The One-Time Setup Service is not an ongoing campaign management service.
10. One-Time Review / Support
As part of the One-Time Setup Service, Hire Ad Guru will provide one review/check of the account after setup if the client reports an issue with the implementation or setup.
This review is intended to address setup-related concerns and does not constitute ongoing campaign management or performance monitoring.
After the included review, Hire Ad Guru will have no ongoing obligation to monitor, optimize, manage, or review the performance of the account unless the client purchases a separate Google Ads management service.
11. Performance Disclaimer for One-Time Setup
The One-Time Setup Service covers the initial creation and configuration of the Google Ads account and campaigns. It does not constitute a guarantee of impressions, clicks, leads, conversions, sales, ROAS, or any specific advertising performance.
Google Ads performance can be affected by factors including competition, market conditions, search volume, budget, bidding, landing-page experience, conversion tracking, client-side changes, Google’s auction system, and other factors outside Hire Ad Guru’s control.
Any ongoing optimization or performance management after the initial setup will require a separate paid management service.
12. Client Acknowledgement
By purchasing the One-Time Google Ads Setup Service, the client acknowledges that the service is a one-time setup and handover service, and not an ongoing management or performance-monitoring service.
The client understands that any requirement for continued monitoring, optimization, campaign management, troubleshooting, reporting, or performance improvement after the included review will be treated as a separate paid service.

Important Note
By availing any Google Ads service from Hire Ad Guru, the client confirms that they have read, understood, and accepted the applicable Terms & Conditions associated with the selected service package.
Google Ads advertising spend is separate from Hire Ad Guru’s service/management fees unless specifically stated otherwise in writing
Disclaimer of Warranties & Performance
The services provided by Hire Ad Guru are offered on an “as is” and “as available” basis. By availing our services, you acknowledge and agree that:
– Hire Ad Guru does not guarantee any specific results or performance, including leads, sales, conversions, traffic, rankings, ROI, ROAS, or revenue.
– Any estimates or projections shared by us are indicative only and may be based on historical data, industry benchmarks, platform data, or our experience. They should not be considered a guarantee of actual results.
– Digital marketing performance varies from business to business and depends on factors such as competition, budget, market demand, pricing, website quality, customer behaviour, and third-party platform algorithms.
– We do not guarantee uninterrupted or error-free services, ad approvals, ad positions, traffic volumes, or specific search engine rankings.
– Actual results may differ from any estimates or projections provided by Hire Ad Guru.
By using our services, the client acknowledges that digital marketing involves variables beyond our control and that no specific performance or result is guaranteed unless expressly agreed in writing
Client-Provided Content & Documents
The client represents that they own or have the necessary rights and permissions to use all govt. documents, images, logos, trademarks, gst, msme, content, and information provided to Hire Ad Guru. Hire Ad Guru does not verify the authenticity, accuracy, or ownership of such materials, and the client remains solely responsible for any claims or consequences arising from the information provided.
Website Development – Terms & Disclaimer
Client-Provided Content: The client is solely responsible for ensuring that all content, logos, images, documents, trademarks, and other materials provided to Hire Ad Guru are accurate and legally authorized for use. The client must ensure that such materials do not infringe any third-party copyright, trademark, intellectual property, or other legal rights. Hire Ad Guru shall not be responsible for any claims or consequences arising from client-provided materials.
Website Access & Handover: Complete website access, including applicable credentials, files, and administrative access, will be provided to the client only after receipt of the full and final payment for the agreed website development services.
